Europe*Star is a satellite owner-operator, offering capacity on its geostationary communications satellites. SS/L is sub-contractor for Alcatel Space for manufacturing and Launch and Early Orbit Phase (LEOP) of a spacecraft with a capacity of 30 channels in the Ku band at 36 MHz.

In July 2005, Europe*Star 1 was sold to Panamsat and the name was changed to PAS 12. Intelsat changed the name of the PAS satellites to Intelsat effective to 1. February 2007.Official

Loral And Alcatel Form Strategic Partnership To Develop Europe*Star

NEW YORK, February 19, 1998 -- Loral Space & Communications and Alcatel Alsthom of France today announced that they will jointly build and operate Europe*Star, a multiple geostationary satellite system that will provide broadcast and telecommunications services to nearly half the world -- from Western Europe to Southeast Asia, including Eastern Europe, the Middle East, South Africa and India, as a part of a global network of operating companies that will use a common marketing strategy to provide customers "one stop shopping" for local, regional, and global satellite services.

Europe*Star will join Loral Skynet's "Global Marketing Alliance," a worldwide sales and marketing coalition comprised of Loral Skynet, Satelites Mexicanos, S.A. de C.V. (SatMex), and Orion Network Systems, Inc. As such, Europe*Star's satellite services and capacity will be also globally-marketed by other Loral alliance members through Loral Skynet's global booking service.

"Europe*Star will be a splendid addition to Loral's ever expanding global network of satellite services," said Bernard L. Schwartz, chairman and chief executive officer of Loral Space & Communications. "This development puts Loral solidly on track as being the world's leading provider of global satellite services."

The three-satellite Europe*Star system, ideally located between Europe and Asia at 43º, 45º, and 47.5º, will be the first European Ku-band satellite system to be able to directly connect Europe and Asia in one single hop -- providing telecommunications, high-rate data interchange (Internet, on-line service access), and television and distribution services.

Alcatel Espace of Toulouse, France, will serve as the prime contractor of the Europe*Star turnkey system. Space Systems/Loral, a wholly-owned subsidiary of Loral Space & Communications, will build the bus, and test and integrate the satellites at its Palo Alto, Calif., facility. Alcatel Espace will provide the payload. Overall project costs for the first satellite are estimated at approximately $300 million.

"The Europe*Star program perfectly illustrates the capacity of Alcatel to promote and develop complete end-to-end space communications systems, in the framework of international cooperation," said Alain Roger, chief executive officer of Europe*Star.

Europe*Star's satellite operations will be provided from Alcatel's facilities in Toulouse, France, with the support of Loral Skynet's satellite control facilities in Hawley, Pa.

Europe*Star was first initiated by Dr. Schulte-Hillen, chairman of Scientific Consulting GmbH in Cologne, Germany, who filed for orbital positions with German authorities in 1991. Alcatel joined the project in early 1996.

Loral Skynet of Bedminster, New Jersey, a wholly-owned subsidiary of Loral Space & Communications, is a leading satellite communications service provider that owns and operates the Telstar satellites. Loral Skynet's customers use satellite transponder capacity to distribute network television programming, collect live video feeds for the reporting of news and events, and to offer direct-to-home and pay-per-view programming, distance learning, educational, and other business television services. Loral Skynet also provides technical consulting, as well as tracking, telemetry, and control of satellite fleets for a wide variety of customers. Loral Skynet operates Telstar 4 and the recently launched Telstar 5, which provides C-band and Ku-band coverage over the continental United States, Hawaii, Alaska, Puerto Rico and the U.S. Virgin Islands.

Through the recent privatization of Mexico's satellite operations, Loral, through Loral Skynet, also manages Satelites Mexicanos, S.A. de C.V. (SatMex). SatMex currently operates 3 satellites, Solidaridad 1, Solidaridad 2 and Morelos II. Morelos III, scheduled for launch in the fourth quarter of 1998, will replace Morelos II. Loral Skynet's vigorous growth plan includes future launches of Telstar 6 and 7, which are expected to be in service in 1998 and 1999, respectively, and Telstars 8 and 9, to be in service shortly thereafter.

Arianespace To Launch EUROPE*STAR

March 31 1999

Arianespace announced today that it had been chosen by Alcatel Space and Europe*Star to launch the Europe*Star satellite, developed in conjunction with Loral Space & Communications of the United States.

The launch is scheduled for mid-2000, using an Ariane 4 or Ariane 5 launch vehicle from the European Spaceportspace in Kourou, French Guiana. The launch service will be partially financed by a project finance loan from Arianespace Finance.

Emphasizing the importance of this contract, Arianespace Chairman and CEO Jean-Marie Luton said: "This contract once again proves the adaptability of the Ariane launch system, which enables us to meet the evolving needs of our operator customers.

"Along with our subsidiary, Arianespace Finance, we have developed innovative solutions, such as this type of project finance aid. We are very pleased to support Alcatel Space and Loral Space & Communications in developing their operations in international markets."

The Europe*Star platform is being built by Space Systems/Loral in Palo Alto (California), and the payload by Alcatel Space Industries in Toulouse (France). Weighing more than 4,000 kilograms (8,800 lb) at liftoff, Europe*Star will be positioned at 45 degrees East. It will be equipped with 30 Ku-band transponders to provide video transmission and other telecommunications services for Europe, the Middle East, South Africa, India and Southeast Asia.

Benoit Tellier, Vice President of Alcatel Space, was delighted with Arianespace which he stated as "over and above the performance of its launchers in being able to provide very competitive financial terms within the scope of its bid." Alain Roger, Chairman and CEO of Europe*Star Ltd., added: "the reliability of Ariane launchers is now fully proven, and at Europe*Star, we can ensure our customers that we will be ready to serve them in mid-2000, as planned."

With this contract, Arianespace's order book now stands at 39 satellites to be launched, along with one constellation launch.

Alcatel Space and Loral Space & Communications have formed the Europe*Star Limited joint venture to market satellite services. It will offer a complete range of data transmission and telecommunications services, in particular video transmission, direct-to-home (DTH)television, Internet access and rural telephony.

Alcatel Space, prime contractor for the Europe*Star system, will provide the payload and the control & mission centers. Space Systems/Loral, subcontractor for Alcatel Space, will supply the integrated satellite platform.

Alcatel Selects Integral Systems To Provide Europe*STAR Satellite Control Center

SAN DIEGO, Calif., May 03, 1999 -- Integral Systems, Inc. today announced that Alcatel Space Industries has awarded the company a contract to provide the SCC (Satellite Control Center) for the Europe*STAR program. Alcatel Space Industries ranks in the top three suppliers of satellites and space systems in the world. London-based Europe*STAR Ltd., which will operate the satellites, is a joint venture of Alcatel Spacecom and Loral Space & Communications. The launch of Arianespace Flight 134 has been postponed for 24 hours due to the remaining unfavorable weather conditions over the launch pad in Kourou, French Guiana. Flight 134 will place into orbit the Europe*Star 1 satellite for the new operator, Europe*Star UK Ltd.

The Ariane 44LP launcher's liftoff for Flight 134 is now scheduled in the morning of October 29, 2000 as soon as possible within the following launch window: 02:59 a.m. and 04:59 a.m., Kourou time.

Ariane Successfully Launches Europe*Star 1

October 29, 2000 - Arianespace Flight 134

An Ariane 44LP launched Europe*Star 1 from Centre Spatial Guyanais (CSG), Kourou, pad ELA 2, at 0559 UTC (10:59 p.m. PDT, October 28) on October 29. The telecommunication satellite is for Europe*Star UK Limited. Europe*Star 1 will be positioned at 45°E to provide video and telecommunications transmission services for Europe, the Middle East, Southern Africa, the Indian Subcontinent and South East Asia. This launch is the 100th flight of an Ariane 4.

Alcatel Space Industries was the prime contractor and provided the payload package. Space Systems/Loral, Palo Alto, California, supplied the LS 1300 satellite bus. The 4167 kg (9167 lbm) Europe*Star 1 is equipped with 30 Ku-band transponders. The satellite will operate in the Ku-band (Downlink 11.45-11.7 /12.5-12.75 GHz Uplink 14.0-14.5 GHz). The satellite is designed to have a 15 year lifetime, having 9.6kW power at end-of-life.

Europe*Star 1 originally arrived at the Ariane spaceport to prepare for a launch on Flight 133. However, Europe*Star 1 was removed from that flight and replaced by NSAT 110, due to an undisclosed payload problem. To maintain its ITU license registry, it may be necessary for the satellite to be in its orbital position by October 29.

Europe*Star UK Ltd, London, is a joint venture between Alcatel SpaceCom and Loral Space & Communications, with interest held by the Dr. Schlte Hillen Group of Germany. It was established to market a complete range of telecommunications and data transmission satellite services, including video transmission, direct-to-home (DTH) TV broad-casting, Internet access and rural telephony. Recently, a new joint venture satellite company, Stellat, was formed between Europe*Star (30%) and France Telecom (70%) to provide broadband capacity services over Europe, the Middle East and Africa with connection to the U.S. east coast.

Europe*Star Signs Two New Customers For Satellite Transponder Leases

NEW YORK, December 5, 2000 - Europe*Star, a joint venture between Loral Space & Communications and Alcatel Space, has been selected to provide two European telecommunications companies with satellite transponder capacity for advanced broadband Internet services.

Communications and Banking Equipment S.A. of Luxembourg (CBL) has leased two transponders on the Europe*Star 1 satellite to launch its new StarSpeeder service, which will deliver broadband Internet and IP streaming services to business-to-business and business-to-consumer markets within Europe and the Middle East. CBL will also offer direct video broadcast/Internet protocol (DVB/IP) platform, uplink and managed data services to these regions.

In a separate agreement, Polish Phonesat, a wholly owned subsidiary of Elektrim S.A. of Poland, has leased three satellite transponders from Europe*Star to deliver broadband Internet backbone connectivity and local distribution services to customers in Poland. In addition, Polish Phonesat will use this transponder capacity to directly connect remote ISPs who currently have limited or no access to local terrestrial fiber or cable, and the company may also use the transponders for future VSAT applications within Poland.

Europe*Star currently operates two satellites serving Europe, the Middle East, southern Africa, the Indian subcontinent, and southeast Asia. Europe*Star 1 is a powerful inter-regional geostationary satellite which was launched in October 2000 into its current slot at 45 East. Its 30 Ku-band transponders provide connectivity suitable for broadband, broadcast-mode delivery of IP and digital TV content.

Europe*Star To Provide Ethnic Programming Distribution Via Satellite From Sri Lanka To Europe

NEW YORK, December 21, 2000 - Europe*Star, a joint venture between Alcatel Spacecom of France and Loral Space & Communications has agreed to provide Ku-band satellite capacity for Electroteks, an international telecom carrier and broadcasting company based in Colombo, Sri Lanka, to carry ethnic Sri Lankan TV direct from Sri Lanka to Europe.

"One of our main target markets is the Indian subcontinent", noted Alain Roger, president and CEO of Europe*Star, "and this contract demonstrates our ability to help broadcasters from this region to easily transmit regional and ethnic content to communities elsewhere within our five coverage regions: Europe, southern Africa, the Middle East, and Southeast Asia. In addition, through our membership with the Loral Global Alliance, Europe*Star can help customers such as Electroteks reach even further to the Americas and the rest of Asia."

Electroteks is expanding its services beyond Europe to include the Middle East, the United States and Australia. "Europe*Star provides us with the opportunity of realizing our goals," stated B.A.C. Electroteks is presently broadcasting in C-band to its customers in Germany, United Kingdom, Australia, the Middle East and the United States, and it is further developing its distribution network through the use of Ku-band satellite capacity.

"The Europe*Star 1 satellite provides connectivity from the Indian subcontinent to the four coverage regions, enabling greater access to non-resident Indian markets (NRI)," stated Ravi Sharma, Europe*Star regional director, South Asia. Electroteks has agreements with all major telecom carriers landing in Sri Lanka, and has an international telecom operator license in the UK. To further develop the direct-to-home (DTH) market, specifically targeted for ethnic Sri Lankan communities, Electroteks also plans to add more channels for European and Middle Eastern markets and later to make their entry into the US market.

Europe*Star 1 is scheduled to enter service in January 2001.

EuropeStar Seeks Bigger Footprint In The Indian Market

LONDON: June 16, 2004 - Alcatel-owned EuropeStar, a seller of transponder capacity for Internet, broadcast and other applications, is in discussions with major television broadcasters in India to ramp up its client base in anticipation of closure on the conditional access system (CAS) this year.

While the company, through its major client DataAccess, plies primarily in the Internet space in India currently, it is looking to increase its presence in broadcast of television and radio in the country. Currently, about a third of its total business is either directly or indirectly from India. Its team in India will also be reinforced if a large direct-to-home project comes its way.

"We are basically interested in entering three business areas in India direct-to-home (DTH), for which we are in discussion with companies in India," EuropeStar general manager David Chegnion told FE.

"What we are also very keen on for the India market is occasional use this market is opening up well in India. It involves selling our transponder capacity on an occasional basis. For example, BBC covered the Indian elections using our capacity, and World Cup cricket between India and South Africa was broadcast through our services. The Indian market is huge and we hope it continues to open up."

Currently, up-linking in India is permitted only on C-band satellites. However, EuropeStar I, the satellite that covers the Indian subcontinental region, functions on the Ku-band.

"The real question to be answered is when Ku-band uplinking will be allowed, after which VSAT applications can be introduced in this potentially huge market," said Mr Chegnion.

Currently all uplinking in India has to be routed through through INSAT, a law that companies like EuropeStar hope will be reworked to allow other satellites to provide uplinking from India.

WILTON, CT, July 19, 2005 -- PanAmSat announced today that it had signed an agreement with Alcatel, the French-based communications leader, for the acquisition of multiple European orbital slots as well as a powerful satellite with a footprint over Europe, the Middle East, Africa and Asia. As a result of this transaction, PanAmSat will substantially strengthen its presence in the European and Middle Eastern marketplaces as well as expand its global reach into key growth regions.

"PanAmSat is the largest distributor of television signals in the world and the number-one provider of HDTV channels in the U.S. but we wanted to increase our coverage in Europe. With the acquisition of Europe*Star, we can now provide our customers with more effective access and expanded services to and from the European marketplace. We also obtain critical new capacity in the Middle East and Africa, two of the fastest growing markets in the world as well as gain an entirely new customer base in that region," said Joe Wright, CEO of PanAmSat. "In addition, we have continually stated that there are growth opportunities in our industry that provide greater value than simply launching new satellites" this is one of them. The acquisition of these strategic orbital locations coupled with the purchase of an in-orbit satellite with an established customer base is an opportunity that is very strategic and accretive. Capital-efficient, sustainable growth is what we're after and this transaction, along with others such as the recently announced joint venture with JSAT, gives us just exactly that."

The new PAS-12 satellite, formerly known as Europe*Star 1, will enable PanAmSat to provide a broad range of enhanced services to European customers for program distribution, broadcast contribution and enterprise networking. These potential applications include new offerings in Direct-To-Home (DTH) and high-definition television (HDTV), On-Demand satellite services, Digital Satellite News Gathering, as well as support of government satellite communications applications in Europe, South Africa, the Middle East, India and South East Asia.

Under the terms of the agreement, PanAmSat gains the right to the 45 degrees east longitude orbital slot as well as the 47.5 degrees east longitude position. Ownership of these two orbital positions significantly expands the Company's global reach enabling access to new markets in Europe as well as Saudi Arabia and other parts of the Middle East, Africa and Asia. The cost of the transaction will come out of available cash on hand and a portion of the price is deferred into 2006. PanAmSat expects that this acquisition will produce approximately $12M to $15M of incremental adjusted EBITDA on an annualized basis over the near term. This equates to approximately $0.07 to $0.09 per share of incremental free cash flow and demonstrates the Company's most recent step in executing its strategy of investing excess cash flow in opportunities that will be accretive to its free cash flow per share.

As part of PanAmSat's innovative growth strategy, the Company also recently entered into an agreement with Japan's JSAT to form a joint venture to launch a new Ku-band satellite at 74 degrees west longitude to satisfy the growing demand in the U.S. market. The joint venture, Horizons-2, includes a high-powered satellite that will support everything from digital video, high-definition television (HDTV) and IP-based content distribution networks to broadband Internet and satellite news gathering services (SNG).

Intelsat Completes Acquisition Of PanAmSat

Pembroke, Bermuda, July 3, 2006 -- Intelsat, Ltd. today announced the completion of its merger with PanAmSat Holding Corporation. With the addition of PanAmSat's video market expertise, advanced satellite fleet and blue-chip media customer base to Intelsat's portfolio, the new Intelsat is now the largest provider of fixed satellite services (FSS) worldwide to each of the media, network services/telecom and government customer sectors.

Intelsat acquired all of the outstanding common shares of PanAmSat for approximately $3.2 billion. Pursuant to the merger, each outstanding share of common stock of PanAmSat was converted into the right to receive $25.00, plus approximately $0.00927 as the pro rata quarterly dividend, per share in cash without interest. In addition and as a result of the merger, PanAmSat is now a wholly-owned subsidiary of Intelsat, and the common stock of PanAmSat has been delisted from the New York Stock Exchange. The total value of the transaction, including PanAmSat debt that was refinanced or remained outstanding, is approximately $6.4 billion. For the twelve-month period ending March 31, 2006, pro forma revenues for the combined company total more than $2.0 billion and adjusted EBITDA for Intelsat (Bermuda), Ltd. on a pro forma combined basis was $1.6 billion. At March 31, 2006, pro forma combined revenue backlog, which is based on long-term customer commitments of up to 15 years, was approximately $8.3 billion.
